Civil Code of the Republic of Kazakhstan (General Part)
The basic private-law code, in force since 1 March 1995. It sets general rules on legal entities, property rights, transactions, representation, obligations and contracts that apply to all commercial dealings in the oil and gas sector.
What matters for an oil & gas company
- Freedom of contract: parties are free to conclude contracts and agree their terms; compulsion to contract is allowed only where the Code, a law or a voluntary obligation requires it.
- The general limitation period for claims is three years.
- A business that fails to perform is liable unless it proves force majeure; lack of the needed goods, works or services on the market is not force majeure.
- Sets the forms of legal entities (including LLPs and JSCs) and the ways to secure obligations: penalty, pledge, suretyship, guarantee, deposit and others.
